These Terms state the rules and conditions governing your use of and access to our Site and constitute a legally binding contract between you and Legility. These Terms incorporate any additional terms and conditions that we have posted throughout our Site or have otherwise made available to you. By using Legility’s Site and related Services, you agree to be bound by these Terms.

Without limiting the foregoing, you acknowledge that such consideration includes, without limitation, your use of our Site, receipt of information, and access to materials and information or job opportunities made available through the use of our Site.

Legility is not a law firm or a referral service. We are pioneers making our way together with you into New Law and changing the way legal services are delivered. As such, NOTHING ON THIS SITE SHALL BE CONSTRUED AS LEGAL ADVICE FROM LEGILITY AND YOU ACKNOWLEDGE THAT LEGILITY IS NOT AUTHORIZED TO PROVIDE LEGAL ADVICE. Further, the information provided on our Site is for informational purposes only and does not create a business or professional services relationship between you and Legility.
Legility further makes no representation in respect to the existence or availability of any assignment advertised on this Site. We do not guarantee that members of our Flexible Talent team will necessarily be available to meet the needs of any client. We also cannot guarantee that any client in possession of personal information from or about one of our Flexible Talent team members will keep such information confidential, despite our precautions to the contrary. As to our talent team members, we make no representation or warranty as to the final terms and duration of any assignment awarded through the use of this Site.
5. LIMITATION OF LIABILITY.
UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, LEGILITY’S OWN NEGLIGENCE, SHALL LEGILITY AND ITS OFFICERS, DIRECTORS, OWNERS, EMPLOYEES, AGENTS, REPRESENTATIVES, AND ASSIGNS BE LIABLE TO YOU OR ANY OTHER PERSON OR ENTITY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES INCLUDING, WITHOUT LIMITATION, LOST PROFITS, PERSONAL INJURY (INCLUDING DEATH) AND PROPERTY DAMAGE OF ANY NATURE WHATSOEVER, THAT RESULT FROM: (A) THE USE OF, OR THE INABILITY TO USE, LEGILITY’S SITE OR CONTENT OR FUNCTIONS ON SUCH SITE; OR (B) THE CONDUCT OR ACTIONS, WHETHER ONLINE OR OFFLINE, OF ANY USER OF OUR SITE OR ANY OTHER PERSON OR ENTITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOU FURTHER ACKNOWLEDGE AND AGREE THAT LEGILITY IS NOT RESPONSIBLE OR LIABLE FOR: (A) ANY INCOMPATIBILITY BETWEEN OUR SITE AND ANY OTHER WEBSITE, SERVICE, SOFTWARE, OR HARDWARE; OR (B) ANY DELAYS OR FAILURES YOU MAY EXPERIENCE WITH ANY TRANSMISSIONS OR TRANSACTIONS RELATING TO OUR SITE IN AN ACCURATE OR TIMELY MANNER.

Legility values and respects your right to privacy and has therefore implemented a Privacy Notice that explains how we collect, use, share, and protect your personal information. The Privacy Notice is explicitly incorporated into and forms a part of this Agreement; it can be found at https://legility.com/privacy-notice. You acknowledge that any personal information that you provide through this Site will be used by Legility in accordance with our Privacy Notice.
7. LINKS TO THIRD PARTY SITES.
Additionally‚ if we place a third-party link on our Site, such action does not mean that we endorse or accept any responsibility for the content‚ or the use‚ of such website. By using our Site, you agree to indemnify, hold harmless, and defend Legility from any claims, damages, losses, liabilities, and all costs and expenses of defense, including but not limited to, attorneys' fees, resulting directly or indirectly from a claim by a third party that is based on your use of our Site in violation of these Terms. You shall use your best efforts to cooperate with us in the defense of any claim. We reserve the right, at our own expense, to employ separate counsel and assume the exclusive defense and control of any matter otherwise subject to indemnification by you.
We may terminate this Agreement or restrict, suspend, or terminate your access to and use of our Site and Services immediately and without notice or liability, with or without cause, and it will not limit any other rights or remedies which are available to us. You may terminate this Agreement by providing us with written notice of your termination and ceasing to use or access our Site and Services. Termination is your sole right and exclusive remedy if you are not satisfied with our Site or Services. Upon the effective date of any such termination, your right to access and use our Services shall immediately cease.
12. GOVERNING LAW, JURISDICTION, AND VENUE.
This Agreement and your use of our Site are governed by the laws of the State of Tennessee‚ USA‚ without regard to its choice of law provisions. The courts of general jurisdiction located within Williamson County‚ Tennessee‚ USA‚ will have exclusive jurisdiction over any and all disputes arising out of‚ relating to, or concerning these Terms and/or our Site or in which these Terms and/or our Site are a material fact.
Legility makes no representation that our Site and any Content contained on our Site is lawful, appropriate, or available for use outside the United States. If you choose to access our Site from outside the United States, you do so on your own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable.
13. NOTICES AND COMMUNICATIONS.
Communications from Us to You. Unless you specify differently, we will generally communicate with you by email (or, at times, by telephone). To that end, you consent to receive communications from us electronically (and telephonically). You further agree that any electronic communications we send to you satisfy any legal requirement that such communications be in writing. You will be considered to have received a communication from us when we send it to the email address you have provided to us via the Site or otherwise. You must keep your email address updated with us. If you fail to respond to an email message from us regarding a violation, dispute, or complaint within two business days, we have the right to terminate our arrangement with you.
Communications from You to Us. All notices to Legility intended to have a legal effect concerning this Agreement must be in writing and delivered either in person or by a means evidenced by a delivery receipt, to the following address:

14. Entire Agreement.
This is the entire Agreement between you and us relating to the subject matter herein and shall not be modified except in a writing signed by both parties.
15. Effective Date.
This Agreement is effective until terminated by us for any reason in our sole and absolute discretion. You may terminate this Agreement at any time by discontinuing use of our Site and Services.
